Download Finance Lease Contracts

Financial leasing is a concept in which a licensed entity (the lessor) acquires or purchases customer's asset (the lessee) on a lease for a fixed period of time in exchange for a pre-determined payment schedule. The lessor, like all lease arrangements, is required to maintain the assets while the lessee enjoys ownership of the asset for a specified period of time while covering all costs associated with asset maintenance.

Therefore in common parlance we can say that, a finance lease is a type of financing in which a leasing company (the lessor or owner) buys an asset on behalf of the user (usually referred to as the hirer or lessee) and leases it to them for a fixed period of time. The contract which constitutes the prerequisites and conditions of a Financial Lease is known as Financial Lease Contract.

Are there any conditions that one should be eligible of before entering into a Financial Lease?

Yes, there are a few conditions which should be met prior to entering into a financial lease which is stated below:

  • Financial leasing operation is not permitted in the state unless a license from the Central Bank has been obtained.
  • Following each finance lease contract entered into with an individual who is not approved by the Central Bank.
  • Any individual who is not allowed by the Central Bank to engage in financial leasing operation is prohibited from using the word "finance lease" or any similar term in their business name.
  • The Central Bank will create rules for obtaining a lessor's license and conducting financial leasing business in the state, including obtaining a foreign financial leasing company's license.
  • The lease contract must be in writing and registered or indicated in a special register in compliance with the provisions of this statute, or it will be nullified.

What are the basic elements of a Finance Lease Contract?

A sound Finance Lease Contract should consist of the following elements:-

  • Name of the lessor, as well as related address and contact information.
  • The leased property's description.
  • Duration of the Finance Lease Contract.
  • The purpose of the used property and the restrictions on its use.
  • The amount of rent decided and the schedule of payment to be followed.
  • Terms and conditions which will be implied on the lessee via the contract.
  • The lessee's rights to the owned premises.
  • Various details regarding the lease.
  • Rights and obligations of both lessor and lessee.
  • Significant obligations that may arise as a result of a contract violation or dissolution.
  • Any statements, conditions, or clauses agreed upon by the parties that are not in violation of the law.

What are the rights and obligations imposed on both lessor and lessee?

The rights enjoyed as well as the obligations imposed by the lessor as well as lessee is explained below for precise clarification:-

Rights of a lessor:-

The rights of a lessor are enumerated below:-

  • Inspection of the leased land, given that such action does not cause any damage to the lessee, and the lessor may appoint someone to perform this duty.
  • Returning possession of leased land to the stores in accordance with the terms of the lease or the law.
  • Transferring his rights under the contract to third parties without notifying the lessee in writing of the transfer would not result in any reduction of the contract's property rights or place any new obligations on it.

Obligations of a lessor:-

  • Allow him to obtain and use the leased property in the agreed-upon condition.
  • At the end of the supply contract, notify the supplier in writing of his intention to rent the property under the contract, along with the tenant's name.
  • Insurance on leased property.
  • Carry out the necessary repairs that the Leased Premises need, in compliance with the contract's terms.
  • Vacating the premises for the lessee's acquisition of the leased land.
  • Provide the tenant with all paperwork and details about the rented premises that you have.

Now we shall enumerate the rights and obligations of the lessee:-

Rights of the lessee:-

  • The selection of a supplier and the negotiation of contract terms.
  • Selecting the leased property and determining the method of manufacture or establishment, as well as the specifications to be given, and negotiating with the supplier on these specifications, either directly or through the lessor, under the lessee's written authorization.
  • Liaise with the supplier directly for any contract or arbitral proceedings in relation to the lease contract between him and the supplier, except for the action for the dissolution of the contract, without prejudice to the right of the lessor to return to the supplier in respect of such claims and promissory notes.

Obligations of a lessee:-

  • Taking ownership of leased property from the lessor or supplier when the contract specifies that this is the case.
  • Payment of the property in compliance with the parties' agreed-upon payment schedules
  • Usage of the leased property for the purposes stated in the contract and within the reasonable use, subject to any terms and conditions set forth in the contract or referred to upon supply.
  • Maintain the leased property in the condition agreed upon by the parties, and make no improvements without the permission of the lessor.
  • Carry out the leased property's daily maintenance requirements in compliance with the contract's agreed-upon terms.
  • In the event that symptoms arise that preclude the complete or partial use of the leased land, issue a notice in compliance with the procedures outlined in the lease.

What happens if the lessor or lessee is liquidated?

In case of lessor:-

  • The contract shall continue to be executed in accordance with its terms and conditions, provided that the liquidator or the trustee of the bankruptcy is notified thereof.
  • The leased property is delivered to the liquidator or bankruptcy trustee, and he is included with the other creditors in the recovery of any sums owed to him, if any, in compliance with accounting principles. If the lessor expresses his wish, the new landlord who has control of the leased property as a result of the previous lessor's liquidation or bankruptcy will continue to enforce the contract.

In case of lessee:-

  • The lessee's creditors do not have access to the leased land.
  • Within 90 days of the liquidation order, the liquidator, bankruptcy trustee, or his heirs must return the leased property to the lessor.
  • If the heirs wish to proceed, they will do so under some conditions.

  • If the lessee makes use of the leased property for any other purpose apart from what is mentioned in the contract.
  • If the lessee modifies or makes any improvements or changes in the leased property without the permission of the lessor.
  • If the leased property causes significant injury to the lessee. The lessee will be informed in writing, and if the lessee does not correct the violation within 60 days of notice, the contract will be terminated.

(c) recover, as damages for the loss of the bargain and not as a penalty and in lieu of any further claim for periodic rent accruing from and after the date of such termination, a sum, with respect to the Equipment, which represents the excess of the present worth, at the date of such termination, of all rents for the Equipment which would otherwise have accrued hereunder from the date of such termination to the end of the term of this Lease over the then present worth of the then fair market value of the Equipment for such period computed by discounting from the end of such term to the date of such termination rentals which the Lessor reasonably estimates to be obtainable for the use of the Equipment during such period, such present worth to be computed in each case on the basis of a [PERCENTAGE %] per annum discount, compounded from the respective dates on which the rents would have been payable hereunder had this Lease not been terminated;

(d) recover any damages and expenses which the Lessor shall have sustained by reason of the Lessee’s breach of this lease, including but not limited to reasonable sum fees of legal counsel and such expenses as shall be expended or incurred in the seizure, dismantling, rigging, transportation, storage, reassembly, refurbishing, rental or sale of the Equipment;

Nothing herein contained shall release Lessor from its obligation to perform any duty, covenant or condition required to be performed by Lessor under the terms of this Lease should the same be sold or assigned.

14. Return of Equipment Upon Termination

Upon the termination of this Lease for any reason, Lessee shall at its cost, return the Equipment to Lessor at a place designated by Lessor and if Lessee fails to do so, Lessor shall have the right to peaceably enter upon the premises where the Equipment may be and take possession of and remove it at Lessee’s expense, all without legal process. In the event that, with or without the consent of Lessor, Lessee remains in the possession of or uses the Equipment after the expiration of the term of this Lease, all of the provisions of this Lease shall apply thereto unless and until the same has been surrendered pursuant to the terms of this clause or Lessor has relieved Lessee from its obligations under this Lease with respect to Equipment. Nothing in this clause shall have the effect of extending or renewing the term of this Lease.

15. Waiver by Lessor

No covenant or condition of this Lease shall be waived except by the written consent of Lessor, and forbearance and indulgence by Lessor in any regard whatsoever shall not constitute a waiver of the covenant or condition to be performed by Lessee to which the same may apply, and, until complete performance by Lessee of said covenant or condition, Lessor shall be entitled to invoke any remedy available to Lessor under this Lease or by law despite said forbearance or indulgence.

16. Interest Charges

Should Lessee fail to pay when due any rental payment or any sum required to be paid to Lessor, Lessee shall pay interest on such delinquent payment from the date thereof until paid at the rate of [PERCENTAGE %] per cent ([PERCENTAGE %]) per month ([PERCENTAGE %] per annum).
